ROI CaseOn Terms of Service and End User License Agreement

Version 1.1 · Effective 2026-10-29 · Web Masters LLC (ROI Systems)

Please read this agreement carefully. It limits what Web Masters LLC is responsible for and makes you responsible for how you use ROI CaseOn. You sign it before you buy and again before the app opens.

1. Who this agreement is with

This Terms of Service and End User License Agreement ("Agreement") is between you, the law firm, attorney or other business using ROI CaseOn ("Licensee", "you"), and Web Masters LLC, an Arkansas limited liability company doing business as ROI Systems and ArrowEye Systems ("Licensor"), 700 S German Ln, Conway, AR 72034. ROI CaseOn was made by Harrison Holt and Nicholas Evans and is licensed to Licensor, which sells and supports it. By signing you agree to this Agreement for yourself and for the firm or business you represent, and you confirm you have authority to bind it. ROI CaseOn is sold to businesses for business use, not for personal, family or household use.

2. License

Licensor grants you a limited, non-exclusive, non-transferable, revocable license to use ROI CaseOn for your own firm's internal use until the end date in your license key. One key covers one firm and all of its users and devices. The demo edition may be used for evaluation only, for 7 days, and not for real client matters, real deadlines or real trust funds. You do not buy the software or its source code. All rights not granted are reserved.

3. Restrictions

You may not copy ROI CaseOn (except for backup), resell, sublicense, rent, publish, rebrand, remove notices from, reverse engineer (except where the law permits it despite this restriction) or get around its license check, or use it unlawfully or to infringe anyone's rights.

4. License keys, price and renewals

License keys are one-time purchases of 1 to 12 months, paid in advance through Stripe. Nothing renews automatically. When your key ends, buy a new one to keep using the app. Prices are shown before checkout, and a key you have bought keeps its end date if prices change later. Fees are not refundable except where the law requires. Sales tax is added at checkout where Licensor must collect it.

5. Licensor is not a law firm

Licensor is a software company. It is not a law firm, does not practice law and does not give legal advice. Using ROI CaseOn does not create an attorney-client relationship between Licensor and you or anyone else. Nothing in the app, its templates, its law library, its AI output or Licensor's support is legal advice or a legal opinion.

6. Your professional responsibility

ROI CaseOn is a practice-management, drafting and reference tool for licensed attorneys and the staff they supervise. You alone are responsible for all legal work you do with it, including advice to clients, filings, deadlines, conflict decisions, billing, trust accounting and every document you send or file. You remain responsible for your own duties under the rules of professional conduct in every jurisdiction where you practice, including competence (and understanding the technology you use), supervision of lawyers, staff and tools, confidentiality of client information, communication with clients about the use of AI where required, reasonable fees, and safekeeping of client property. You must independently check every result before you rely on it.

7. AI features

By default the AI Associate runs only through Ollama or another AI model you install on your own computer, and the app blocks connections to other internet services. You may instead choose a cloud AI service (OpenAI or Anthropic) with your own account and key. If you do, your requests leave your office and are handled by that provider under its own terms, which you accept and pay for directly. Before each first send the app warns you twice and sends nothing; a third attempt is sent at your own risk, and each warning and send is recorded on your device. The app can replace client names and identifiers with placeholders before sending, but it cannot find every piece of confidential information, and you can turn it off. You are solely responsible for deciding what to send, for getting any client consent your rules require, and for the provider's handling of it. You choose, install and are responsible for every AI model and its own license terms. AI output can be wrong, incomplete or made up, including citations, quotations, holdings and deadlines. Read every draft, check every citation against the official source, and never file or send AI output you have not verified. The app keeps a log of AI requests on your device to help you supervise its use; keeping that log is your responsibility.

8. The 50-state law library and deadline tools

The law library links to official sources and lists general limitation periods with code citations as a starting point. It is general reference information, not legal advice. It may be incomplete, out of date or wrong, does not cover exceptions, tolling, notice requirements or court-specific rules, and entries marked "verify" have not been confirmed. The limitations calculator and the deadlines calculator only apply the information they are given and the rule sets your firm enters. They are not a docketing service and do not guarantee any deadline. You must calculate and confirm every deadline yourself from the governing statute, rule and court order.

9. Trust ledger and billing

The client trust ledger, reconciliation report, time and invoice tools are record-keeping aids. They are not a substitute for your trust or IOLTA bank records or for the records your state requires. You are responsible for your trust account, its reconciliation and your compliance with your state's trust accounting rules.

10. Your data

ROI CaseOn stores your clients, matters, documents and ledgers on your device, in this browser. Licensor does not receive them and cannot recover them. Clearing browser data, resetting or losing the device can erase them permanently. You are responsible for backups and for securing the devices you use. If you turn on encryption and logins, each user's passphrase unlocks the data; if every admin passphrase is lost, the data cannot be recovered by anyone, including Licensor. The audit trail is kept on your device and is your record to maintain. The app and the files it makes carry identifiers so copies can be traced (a signed build fingerprint and an ID for your license key); these contain no client information. Your purchase details (name, email, firm and payment) are handled under the store's Privacy Policy at https://web.arroweyesystems.com/legal/privacy/.

11. No warranty

THE SOFTWARE, ITS CONTENT AND ALL AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT, TO THE FULLEST EXTENT THE LAW ALLOWS. Licensor does not promise that the app, its law library or its output will be accurate, complete, current, error-free or uninterrupted.

12. Web Masters LLC is not responsible for your use

TO THE FULLEST EXTENT THE LAW ALLOWS, LICENSOR AND ITS OWNERS, MEMBERS, EMPLOYEES, CONTRACTORS AND LICENSORS ARE NOT LIABLE FOR ANY LOSS THAT COMES FROM YOUR USE OF ROI CASEON OR YOUR RELIANCE ON IT, INCLUDING MISSED DEADLINES, LOST OR DISMISSED CLAIMS, MALPRACTICE CLAIMS, COURT SANCTIONS, DISCIPLINARY ACTIONS, TRUST ACCOUNT ERRORS, LOST DATA, LOST FEES OR PROFITS, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, EVEN IF TOLD THEY WERE POSSIBLE. LICENSOR'S TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE FEES YOU PAID FOR ROI CASEON IN THE 3 MONTHS BEFORE THE CLAIM. Some states do not allow some of these limits, so they may not all apply to you.

13. Release and indemnity

You release Licensor from claims that arise from your use of ROI CaseOn, your legal work, your data and your AI models. You will defend, indemnify and hold harmless Licensor and its owners, members, employees and contractors from any claim, demand, loss, fine or expense (including reasonable attorney's fees) brought by your clients, opposing parties, courts, bar authorities or anyone else that arises from your use of ROI CaseOn, your legal services, information you entered or sent, or your breach of this Agreement.

14. Termination

The license ends when your key ends or if you breach this Agreement. Sections 3 and 5 through 19 survive.

15. Changes to this Agreement

Licensor may update ROI CaseOn and this Agreement. When this Agreement changes, the app shows the new version and asks you to sign it before you continue; until then the version you signed applies.

16. Law and disputes

This Agreement is governed by the laws of the State of Arkansas, without regard to conflict-of-laws rules. Before filing any claim, each party agrees to try to resolve the dispute informally for 30 days by writing to the other. Venue is the state or federal courts located in Faulkner County, Arkansas, except where the law gives you a different venue.

17. Electronic signature

You agree to sign this Agreement electronically and that your electronic signature has the same effect as your handwritten signature. A record of your signature (your name, email, signature, the time and a fingerprint of this text) is kept on your device and, when you sign at checkout, by Licensor. You can print or download a copy when you sign.

18. General

This Agreement is the whole agreement about ROI CaseOn and replaces earlier ones. If a part of it can't be enforced, the rest still applies. Not enforcing a part is not a waiver. You may not transfer this Agreement or your key without Licensor's written consent; Licensor may transfer it to a successor to its business.
