1. Who this agreement is with

This Terms of Service and End User License Agreement ("Agreement") is between you (the business or person using EsoTrade by ROI Systems, "Licensee") and Web Masters LLC, an Arkansas limited liability company doing business as ROI Systems and ArrowEye Systems ("Licensor"), Conway, Arkansas. By checking the box and clicking Accept you agree to it. If you are accepting for a business, you confirm you are authorized to bind it.

2. License

Licensor grants you a limited, non-exclusive, non-transferable, revocable license to use EsoTrade by ROI Systems on the device(s) your license key is issued for, for your internal business use, while your subscription is active. The demo edition may be used for evaluation for 7 days. You do not buy the software or its source code; all rights not granted are reserved by Licensor.

3. Restrictions

You may not copy (except for backup), resell, sublicense, rent, publish, remove notices or watermarks from, reverse engineer except where the law permits despite this restriction, or circumvent the license check of EsoTrade by ROI Systems, or use it unlawfully or to infringe anyone's rights.

4. Subscription, automatic renewal and cancellation

Paid licenses are a subscription of $150 per month per product, billed in advance through Stripe, that renews automatically every month until you cancel. Each payment extends your license key for one month. You can cancel any time from the "Manage subscription" link in any receipt email or by emailing harrison@arroweyesystems.com; cancellation takes effect at the end of the current paid month and no further charges are made. Fees already paid are non-refundable except where the law requires otherwise. Licensor will give notice before any price change. Sales tax is added where required.

5. Your data

EsoTrade by ROI Systems stores your data on your device (in this browser or app window). Licensor does not receive it. Clearing browser data, uninstalling, or losing the device can erase it permanently. You are responsible for backups (use the app's backup feature where available). If you enter an optional third-party AI or service key, your use of that service is governed by its terms.

6. Product notices

Software only. ROI AlphaMind is not a broker-dealer, exchange, custodian or registered investment adviser, and does not provide investment, tax or legal advice or recommendations. Scores, projections and agent trade cards are information and education, not advice. Live orders go only to brokerage accounts you open and connect yourself, using your own API keys, and every order must be reviewed and approved by you; nothing trades on its own and we never hold your funds or keys. Projections are probability ranges, and past, simulated or paper results do not predict future results. Trading stocks, options, futures and crypto-assets involves substantial risk of loss, including loss of more than you deposit on margin or leveraged products. Crypto-assets are volatile and are not protected by SIPC or FDIC. Market data comes from third-party feeds and can be delayed, wrong or unavailable. You are responsible for your trades, taxes and compliance with the rules of your broker, exchange and jurisdiction.

7. Warranty disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE FULLEST EXTENT THE LAW ALLOWS. You are responsible for checking results before relying on them.

8. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, LICENSOR IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA, AND ITS TOTAL LIABILITY IS LIMITED TO THE FEES YOU PAID IN THE 3 MONTHS BEFORE THE CLAIM. Some states do not allow these limits, so they may not apply to you.

9. Termination

The license ends when your subscription ends or if you breach this Agreement. Sections 3 and 5 onward survive.

10. Law and disputes

This Agreement is governed by the laws of the State of Arkansas, without regard to conflict-of-laws rules. Before filing any claim, each party agrees to try to resolve the dispute informally for 30 days by writing to the other. Venue is the state or federal courts located in Faulkner County, Arkansas, except where the law gives you a different right.
